LeyLaw AI Terms of Service Agreement

Thank you for choosing LeyLaw AI. These Terms of Service (“Terms”) form a binding agreement between you (“You” or “Your”) and LeyLaw AI LLC (“LeyLaw AI,” “We,” “Us,” or “Our”). You and LeyLaw AI may be referred to, individually, as a “Party” and, collectively, as the “Parties.”
These Terms govern your use of all Services provided by LeyLaw AI, including our website located at www.LeyLaw.ai (“Website”) and any associated software or applications (collectively, the “Services”). By accessing or using any part of Our Services, You agree to be bound by these Terms. If You disagree with any part of these Terms, you should not use our Services.
We may amend these Terms at any time by posting the amended Terms on the Website. When changes are made, We will make the revised version available on the Website, and We will indicate at the top of this Webpage the date that revisions were last made. If We make a material change to the Terms, We will notify You by sending a notice to the email address registered to Your account and/or by posting a notice on the Website. Your use of the Site or the Services after the effective date of any changes to these Terms (“Effective Date”) will constitute acceptance by You of such changes.
Please review this agreement carefully. In particular, your attention is directed to the mutual arbitration provision in Section 9, as it requires the parties to resolve disputes on an individual basis, to the fullest extent permitted by law, through final and binding arbitration.
By accessing or using the Services or the Website, You also acknowledge and agree to the collection, use, and disclosure of your personal information in accordance with Our Privacy Policy, as well as any additional guidelines, usage policies, or documentation We may provide, which are incorporated into these Terms by reference.
1. Overview
- The Services include AI-powered features and tools. Use of our Services may generate text or other output ("Output").
- Because artificial intelligence is probabilistic, Output may not be accurate, reliable, or entirely error-free.
- You should not rely solely on Output for factual information or critical decisions.
Minimum Age Requirements:
- You must be at least 13 years old to use our Services.
- If under 18, you represent and warrant parental or guardian permission.
- If you do not meet these age requirements, you may not use our Services.
Acceptance of Terms:
- By using the Services, you agree to abide by the Terms and applicable laws.
- If using on behalf of another entity, you represent authority to bind them to these Terms.
2. Definitions
- Account: A unique account created for You to access the Services.
- Affiliate: An entity that controls, is controlled by, or is under common control with a Party.
- Content: Any text, images, files, or other materials posted or made available by You or others.
- Device: Any device capable of accessing the Services.
- Feedback: Suggestions or comments You provide about the Services.
- Input: Content You provide to the Services.
- Output: Content generated in response to Your Input.
- Terms of Service: This agreement between You and LeyLaw AI.
- Third-Party Social Media Service: External services linked by the Services.
- Website: The LeyLaw AI website located at www.LeyLaw.ai.
3. Accounts and Registration
3.1 Account Creation
- You must provide accurate, complete, and current information when creating an Account.
- You are responsible for safeguarding your password and not sharing credentials.
- You authorize LeyLaw AI to assume anyone using your credentials is authorized by you.
3.2 Corporate Domains and Transfers
- Organizational email accounts may be linked to business accounts by that organization.
- Administrators may gain access and control over the Account, including stored content.
3.3 Termination or Suspension
- We may suspend or terminate Accounts for violations or inactivity over one year without a paid plan.
4. Using Our Services
4.1 Permitted Use
- Access is granted conditionally under compliance with Terms and laws.
4.2 Prohibited Use
- No unlawful, harmful, or abusive activity.
- Do not infringe intellectual property rights or distribute objectionable content.
- Do not attempt reverse-engineering or bypass rate limits/security.
4.3 Software Updates
- Updates may occur automatically. Open-source software is governed by its own licenses.
4.4 Third-Party Services
- We may link to or incorporate third-party services. They are governed by their own terms.
4.5 Feedback
- We may use any feedback you provide without restriction or compensation.
5. Content and Intellectual Property
5.1 Your Content (Input and Output)
- You are responsible for Input content legality.
- You own Output rights where allowed; LeyLaw AI assigns its rights to you.
5.2 Content Similarity
- Output may not be unique. Others may receive similar responses.
5.3 Our Use of Content
- We may use Input/Output to operate and improve our Services.
5.4 Accuracy and Reliability
- AI-generated Output may be inaccurate or misleading.
- You must evaluate Output before relying on it.
5.5 Our IP Rights
- Except for your content, we retain rights to Services and branding.
6. Paid Accounts and Billing
6.1 Billing Information
- Provide valid and accurate payment info when making purchases or donations.
- You authorize recurring charges as agreed upon at the time of purchase.
6.2 Taxes
- You are responsible for applicable taxes; we may collect them where required.
6.3 Cancellation and Refunds
- Subscriptions can be canceled anytime, but payments are non-refundable unless required by law.
- If Services are discontinued or downgraded, refunds for unused prepaid periods may be issued.
6.4 Price Changes
- Price changes will be notified at least 30 days in advance before the next renewal date.
7. Discontinuation of Services
- LeyLaw AI may discontinue or significantly modify the Services at any time.
- Refunds will be given for prepaid, unused portions if applicable.
8. Copyright Policy
8.1 Intellectual Property Infringement
- LeyLaw AI respects intellectual property rights and responds to infringement claims accordingly.

8.2 DMCA Notice
- Provide a signature, description of the work, the infringing content, and your contact info.
- State your good-faith belief and authority to file the notice under penalty of perjury.
9. Dispute Resolution and Mutual Arbitration
9.1 Mandatory Arbitration
- All disputes will be resolved through final and binding individual arbitration, except as stated.
- You may opt out within 30 days by emailing support@leylaw.ai.
9.2 Informal Dispute Resolution
- Parties must attempt informal resolution before filing arbitration.
- If not resolved within 60 days, arbitration may proceed.
9.3 Arbitration Procedure
- Arbitration is administered by the American Arbitration Association via remote hearings.
- Decisions are governed by the Federal Arbitration Act or Delaware law.
9.4 Exceptions
- Claims may be brought in small claims court if requirements are met.
- If arbitration is initiated, parties can elect to move it to small claims court.
9.5 Class Action and Jury Trial Waivers
- Disputes must be resolved individually — no class, representative, or collective actions allowed.
- Jury trials are waived; appeals are limited to judicial review of arbitration.
9.7 Severability
- If any part of Section 9 is unenforceable, the rest remains effective, unless it allows class actions.
10. Disclaimer of Warranties
- Services are provided "as is" and "as available," without warranties of any kind.
- No guarantee that Output is accurate, complete, or reliable.
- Output should not be relied on as professional or legal advice.
11. Limitation of Liability
- LeyLaw AI is not liable for indirect, incidental, or consequential damages, including lost data or profits.
- Exclusions apply even if advised of the possibility of such damages.
- Some jurisdictions may not allow certain limitations, in which case only lawful limits apply.
12. Indemnity
If You are a business or organization, or if You are using the Services on behalf of a business or organization, You agree to defend, indemnify, and hold harmless LeyLaw AI, its Affiliates, and their respective employees from any claims, damages, or expenses arising out of or related to Your use of the Services or violation of these Terms, to the fullest extent permitted by law.
13. Trade Controls
- You must comply with all applicable export and sanctions laws. You may not use the Services in any sanctioned country or for any end use prohibited by such laws.
- Your Input may not include information that is restricted under export control laws without proper licenses or permissions.
14. Changes to These Terms
- We may modify these Terms or the Services from time to time due to changes in the law, security requirements, product updates, policy decisions taken by LeyLaw AI, or other miscellaneous reasons, including, but not limited to, administrative, logistical, and technical reasons.
- We will provide at least 30 days’ notice (e.g., via email or on-Website notification) of material changes that adversely impact You. All other changes are effective upon posting.
- If You do not agree to the changes, You must stop using our Service.
15. Severability and Waiver
15.1 Severability
If, and to the extent that, any provision of these Terms is held to be illegal, invalid, or unenforceable in whole or in part under applicable law, such provision or such portion thereof will be ineffective only as to the jurisdiction in which it is illegal, invalid, or unenforceable to the extent of its illegality, invalidity, or unenforceability and will be deemed modified to the extent necessary to conform to applicable law so as to give the maximum effect to the intent of the Parties.
The illegality, invalidity, or unenforceability of such provision in that jurisdiction will not in any way affect the legality, validity, or enforceability of such provision in any other jurisdiction or of any other provision in any jurisdiction.
15.2 No Waiver
Our failure to act with respect to or enforce any provision of these Terms does not constitute a waiver of that provision or any future enforcement. LeyLaw AI does not guarantee it will take action against all breaches of these Terms.
16. Assignment
- You may not assign the Terms, or any of its rights or obligations hereunder, without Our prior written consent in the form of a written instrument signed by a duly authorized representative of LeyLaw AI. Any attempted assignment or transfer in violation of this Section 16 will be null and void.
- LeyLaw AI may freely assign these Terms without your consent.
- Subject to the foregoing restrictions, the Terms are binding upon and will inure to the benefit of the successors, heirs, and permitted assigns of the Parties.
17. Governing Law
- These Terms are governed by and construed under the laws of the State of California, without regard to conflict of law principles.
- Unless otherwise required by applicable law or as stated in Section 9 (Arbitration), all claims arising under these Terms will be subject to the exclusive jurisdiction of the federal or state courts in Los Angeles, California.
18. Entire Agreement
- These Terms constitute the entire agreement between You and LeyLaw AI regarding the use of the Website and Services and supersedes any prior agreements.
- Even though LeyLaw AI drafted the Terms, You represent that You had ample time to review and decide whether to agree to the Terms. If an ambiguity or question of intent or interpretation of the Terms, no presumption or burden of proof will arise favoring or disfavoring You or LeyLaw AI because of the authorship of any provision of the Terms.
